- Manage documentation in relation to corporate entities, including drafting board resolutions, meeting minutes, committee meeting notes
- Contract management (including maintaining contract database and ensuring all legal documents are properly filed and maintained)
Legal Documentation
- Prepare and/or review basic legal documentation, including non-disclosure agreements, consultancy agreements, MOUs and JDAs
- Manage CPs at financial close
- Research and advise on particular legal issues as requested
- Research legal systems of project countries and project related laws
- Assist in legal due diligence (review and administrative function)
- Review legal engagement letters and audit legal invoices
Translation
- Translation of complex techno-commercial Arabic documents
- Compilation of summary for senior management review
Compliance Support
- Compliance and administration support functions, reporting to senior management (can include World Check, other research)
- Compilation and submission of Know Your Customer (KYC) documentation for entities in various jurisdictions
- Filing of required information for underlying companies and assets with authorities
Best Practice
- Raise awareness of potential legal issues arising through the company
- Reduce legal exposure for the company
- Support with corporate governance (contract approvals procedure, authority matrix, policies and procedures)
General
- Conduct legal research and provide memoranda and legal advice as and when required by the company
- Provide a legal administrative function to the company in addition to ad hoc work
